https://cgbugsesports.com/ (hereinafter referred to as the “Website”) is owned by House of Gaming Private Limiteda company incorporated under the Companies Act, 2017 and having its registered address at CG BUGS, 2nd Floor, Dhole Empire, Pune – Nashik Hwy, Govind Nagar, Sangamner, Maharashtra 422605, India, hereinafter referred to as “CG BUGS”.

For the purpose of these Terms of Use (as defined below), wherever the context so requires, the term:

Account” shall mean the account created by the User on the Portal by registering on the Portal.

Applicable Law” shall include all laws, statutes, ordinance, regulations, guidelines, policies and other pronouncements having the effect of law of the all or any applicable jurisdictions by state, municipality, court, tribunal, government, ministry, department, commission, arbitrator or board or such other body which has the force of law in all or any applicable jurisdiction, including but not limited to the General Data Protection Regulations (“GDPR”).

Content” shall mean all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds and artwork displayed on the Website.

Person” shall mean any natural person, trust, firm, company, governmental authority, joint venture, association, partnership, society or other entity (whether or not having separate legal personality).

Portal” shall mean, jointly, an internet portal located at URL – http://iglnetwork.com/ (“Website”) and a computer program designed to run on smartphones and tablets i.e. a mobile application available for android operating system located at [insert] (“App”).

Services” shall mean the services as detailed under Clause 4 of these Terms of Use.

Third Party Policies” shall mean this Terms of Service (asamended,modified or restatedfrom time to time) read with policies of third party service providers whose services are used in addition to or in conjunction with the services of the Company:

“User” shall mean any Person who seeks to avail the Services of IGL for the purpose of gaming, hosting, participating, transacting or uploading information or views.User’s use of the Portal and Services are governed by following this Terms of Service as applicable to the Portal including the applicable policies which are incorporated herein by way of reference. If the User transacts on the Portal and/or avails Services, it shall be subject to the aforesaid policies that are applicable to the Portal for such transaction. By mere use of the Portal, the User shall be contracting with the Company and these Terms of Service including the policies constitute the User’s binding obligations with the Company.For the purpose of these Terms of Service words importing the singular include the plural and vice versa, pronouns importing a gender include each of the masculine, feminine and neuter genders, and where a word or phrase is defined, other parts of speech and grammatical forms of that word or phrase shall have the corresponding meanings.Throughout this Terms of Service, the Company’s prior written consent means a communication coming from the Company’s legal department, specifically in response to the User’s request, and specifically addressing the activity or conduct for which the User seeks authorization.When the User avails any of the Services, User will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Terms of Service and shall be considered as a part of these Terms of Service. The Company reserves the right, at its sole discretion, to change, modify, add or remove portions of this Terms of Service, at any time without any prior written notice to the User. It is the User’s sole responsibility to review this Terms of Service periodically for updates or changes. The User’s continued use of the Portal following the posting of changes shall be deemed to mean that the User accepts and agrees to the revisions. As long as the User complies with this Terms of Service, the Company grants the User a personal, non-exclusive, non-transferable, limited privilege to enter and use the Portal.Accessing, registering, browsing or otherwise using the Portal indicates the User’s agreement to all the terms and conditions under this Terms of Service. Users are advised to read this Terms of Service carefully before proceeding. By impliedly or expressly accepting this Terms of Service, the User also accepts and agrees to be bound by all of the Company’s policies (including but not limited to Privacy Policy available on Privacy Policy as amended from time to time).Services are available on a computer program designed to run on smartphones and tablets i.e. a mobile application. The User accepts and agrees that it shall not use the Services and/or the Portal in such a way that it distracts the User or any other person and prevents the User or any other person from obeying traffic or safety laws / rules / regulations.

1. Membership Eligibility

Use of the Portal is available only to competent natural Persons. Any person under the age of 14shall not register on the Portal, create an CG BUGS Account and shall not transact on or use the Portal or CG BUGS. The Company reserves the right to terminate any User’s registration and/or refuse to provide such person with access to the Portal if it is brought to the Company’s notice or if it is discovered that such User is not eligible to use the Portal and/or CG BUGS

2. User’s Obligations to Register on the Portal

CG BUGS makes the Services available to the Users only if the Users have provided CG BUGS with certain required User information, including the Personal Information and created an Account through a login ID and password, (collectively, “Account Information”).

If a minor wishes to use or transact on the Website, such use or transaction may only be made by minor’s legal guardian or parents on the Website. CG BUGS reserves the right to terminate any Users’ membership and/or refuse to provide such person with access to the Website if it is brought to CG BUGS notice or if it is discovered that such User is not eligible to use the Website.

2.1. The Services are made available to the Users through the Portal, only if the Users have provided the Company certain required User information towards creation of the User by following the below mentioned steps:

AS REQUESTED FOR, USER TO SIGN UP THEIR NAME ON THE PORTAL.

STEP 2

USER TO CHOOSE/CREATE AIGL ID ON THE WEBSITE.

STEP 3

USER TO VERIFY THEMSELVES BY ENTERING A VALID EMAIL ID, WHICH MAY BE A VALID EMAIL ID OR OTHER LOGIN-IN ID, TO WHICH A PASSCODE SHALL BE SENT BY THE PORTAL.

STEP 4

UPON RECEIPT OF THE PASSCODE SENT TO THE VALID EMAIL ID, USER TO ENTER THE SAME ON THE PORTAL TO VERIFY THEMSELVES.

STEP 5

UPON VERIFICATION, USER TO SET A PASSWORD FOR THEIR IGL ACCOUNT THAT IS BEING CREATED.

2.2. All or any information required to be entered into the Portal by the User to complete the aforementioned Steps 1 to 5 towards creation of CG BUGS Account, shall collectively be referred to as “ Account Information”.

2.3. The Services may also be subject to procedures for use of the Portal, uploaded guidelines, rules or other disclaimers and notices if any (“ Additional Terms”).

2.4. User will be responsible for maintaining the confidentiality of the Account Information, and shall be fully responsible for all activities that occur under its Account. The User agrees to (i) immediately notify the Company of any unauthorised use of its Account Information or any other breach of security, and (ii) ensure that the User exits from its CG BUGS Account at the end of each session. The Company cannot and will not be liable for any loss or damage arising from the User’s failure to comply with this Clause 2.4.

2.5. User shall ensure that the Account Information provided by it at the time of creation of CG BUGS Account is complete, accurate and up-to-date.

2.6. In case User wishes to update or correct the Account Information provided by them, they may do so by visiting their Account, clicking on the ‘Settings’ gear icon in the upper right corner of the landing page of their Account, and towards updating or correcting the ‘Profile’ information, by clicking on ‘Profile’ on the dashboard and clicking on ‘Change’. Upon the Account Information has been updated or corrected, the clicking on ‘Save’.

2.7. In the event, User seeks to add a new card or delete an existing card, User may do so by clicking on ‘Payment Details’ tab on the dashboard.

2.8. User agrees that if it provides any information that is untrue, inaccurate, not current or incomplete, (or becomes untrue, inaccurate, not current or incomplete) or if the Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current, incomplete, or not in accordance with this Terms of Service, the Company may have the obligation to intimate relevant third party service providers of the same and shall be entitled to refuse to provide any further services to User and automatically unsubscribe such User from the Portal.

2.9. Suspension / Blacklisting Of User

In addition to and without prejudice to any other rights of IGL in these Terms of Service or otherwise available to it in law, upon receipt of complaint from any User or any Person with regards to the User having committed fraud / embezzlement / criminal breach of trust / cheating / falsification of any information provided on the Website, misuse of data, breach of confidentiality, willful default, IGL shall issue a warning notice to such User for suspension of Account. Post such warning notice, CG BUGS may suspend conduct of business with the User for a period of 14 (fourteen) days pending inquiry into the complaint if such acts by the User is repeated after the warning notice. CG BUGS may issue a show cause notice to the User seeking explanation for the lapses committed by it and the User shall submit to CG BUGS a written explanation within the stipulated time period as mentioned in the show cause notice. In the event of non-submission of the written explanation by the User within the stipulated time period or the explanation adjudged unsatisfactory by CG BUGS, CG BUGS at its sole discretion shall (a) blacklist the User; (b) delete the User Account; (c) remove all information pertaining to the User from the Website and (d) stop the User from accessing the Website.

3. Interaction between Users

3.1. IGL strives to collect, compile and share authentic and accurate User information. However, CG BUGS does not guarantee or endorse the authenticity of the information provided by any User. Users are advised to independently verify and confirm the veracity of information pertaining to or provided by another User on the Website.

3.2. CG BUGS does not represent or endorse any Users in any transaction or communication.

3.3. Users are solely responsible for all the transactions that may originate from the Services provided on the Website. In the event of a dispute arising in such a transaction, the User agrees to release and indemnify CG BUGS (including all its agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.

3.4. Users agree that they will not use the Website to send junk mail, chain letters or spam, or transmit any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature.

3.5. CG BUGS reserves the right to add or modify or discontinue any of the features offered on the Website with a service with respect to any particular User or in general.

4. Services

CG BUGS is an E-sports portal that hosts and manages online tournaments across various E-Sports titles. CG BUGS allow users to purchase CG BUGS Coin, their internal platform currency and allows them to take part in tournaments and send challenges to other players.

4.1. Skilled Gaming for Prizes

Each User acknowledges that the outcome of the matches and tournaments offered on the Portal are directly related to the number of Users participating, and the skill levels of each member participating. CG BUGS reserves its right to comment and/or have knowledge of the probability of one User winning a match vs. another User, and makes no representations and warranties about a User’s chances of winning.

4.2. Determination of Winners

The results and winners of each tournament offered on the Portalshall be concluded by CG BUGS, and such conclusions shall be final and binding on such winners. By registering and/or participating in any tournament, the User agrees to be bound by these conclusions made by CG BUGS.

4.3. Game Play

Once a match has been cancelled and marked incomplete, the results are irrevocable. CG BUGS at its sole discretion may ask Users to provide additional evidence in order to determine the accurate winner. After 24 (twenty four) hours all match results will be final and binding. For any unresolved matches, in the event a winner cannot be established from an investigation by CG BUGS then both Users will have the monies refunded excluding the management fee as administered by CG BUGS. Claiming a false win: If a user claims a “win” in a match that was either; not played, not completed, drawn or lost, an automatic forfeit and suspension will be issued, following on the suspension guideline listed above. Submitting false evidence: If a user submits “false evidence”; evidence that has previously been submitted or archived from a previous match, evidence that has been altered in any way, or false evidence that has been created, then that user will automatically forfeit the match and immediately face a suspension, based on the suspension guideline listed above.

4.4. Challenges Play:

Sending a challenge : The User agreesto appoint IGL as the User’s agent for the communication of posted challenges and for receipt of communications matching the User challenges. The User do not challenge the Website, the User only challenge other users who are registered to use the Website’s Services. The Website does not accept challenges on our own behalf under any circumstances. The Website will only allow the User to send a challenge if the User are in compliance with the Terms and Conditions. The Useris entirely responsible for the information that the User provide us concerning the challenge the User post. CG BUGS will not inquire into the reasonableness of any challenge the User may post. CG BUGS will not be liable for incorrect entries made by the User on the Website, including data input errors. Once the User hassent a challenge, the User agrees to complete that challenge once it has been accepted. The User shall ensure that once the challenge is complete, the results of the same are duly submitted on the Website. CG BUGS may determine, in its absolute discretion, when the Website is open for the posting of challenges.Once a challenge has been sent by a User, the same shall remain valid till the next 15 (fifteen) minutes, post which it shall be considered lapsed.

Accepting a challenge : When the User accept a challenge as posted on the Website, the User are not challenging with the Website but other registered Users who use the Website. The User’s acceptance of a challenge indicates the User’s agreement to be bound by the challenge terms and the User’s commitment to play in that game and submit the result on the Website. The User will have a maximum time period up to 15 (fifteen) minutes to the scheduled match time to withdraw from and cancel the User’s acceptance of the challenge. By accepting a challenge, the User expressly confirm that the User have read and understood the nature of the challenge and the terms under which each member will execute the challenge.

5. Payment

5.1. To avail the Services, User may save one or more credit/debit card details under the ‘Wallet’ tab. If a payment is not successfully settled, due to expiration of card, insufficient funds, or otherwise, CG BUGS may suspend User’s access to the said service until a valid payment has been processed. Local tax charges may vary from country to country and will be dependent on the location of the User. The Company cannot guarantee that the User shall be entitled to choose its currency of payment.

5.2. While availing any of the payment gateways available on the Portal, the Company will not be responsible for or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to the User due to:

  • lack of authorization for any transaction(s), or
  • exceeding the present limit mutually agreed by the User and between bank(s), or any payment issues arising out of the transaction, or
  • decline of transaction for any other reason(s) whatsoever.

5.3. All payments made against the Services on the Portal by the User shall be as per the currency of the country in which the User resides. The Portal shall not facilitate transaction with respect to any other form of currency with respect to the transactions made on the Portal except in accordance with the existing billing policies of the Company.

6. Use of the Portal

6.1. User agrees, undertakes and confirms that its use of the Portal shall be strictly governed by the binding principles contained herein below. The User shall nothost, display, upload, modify, transmit, update or share any information that:

  • belongs to another Person and to which User does not have any right to;
  • is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
  • is unlawfully threatening or unlawfully harassing including but not limited to “indecent representation of women” provided as per Applicable Laws;
  • is misleading in any way;
  • harasses or advocates harassment of another person;
  • involves the transmission of “junk mail”, “chain letters”, or unsolicited mass mailing or “spamming”;
  • infringes upon or violates any third party’s rights including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person’s name, email address, physical address or phone number) or rights of publicity;
  • promotes an illegal or unauthorized copy of another Person’s copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files or some other Person’s database or proprietary information;
  • contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
  • provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone;
  • provides instructional information about illegal activities such as making or buying illegal weapons or any other objects, violating someone’s privacy, or providing or creating computer viruses;
  • contains video, photographs, or images of another Person (with a minor or an adult);
  • tries to gain unauthorized access or exceeds the scope of authorized access to the Portal or to profiles, blogs, communities, account information, bulletins, or other areas of the Portal or solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
  • engages in commercial activities and/or sales without the Company’s prior written consent such as contests, sweepstakes, barter, advertising and pyramid schemes;
  • solicits gambling or engages in any gambling activity which the Company, in its sole discretion, believes is or could be construed as being illegal;
  • interferes with another User’s use and enjoyment of the Portal;
  • refers to any website or mobile application or URL that, in the Company’s sole discretion, contains material that is inappropriate for the Portal or any other website or mobile application or URL, contains Content that would be prohibited or violates the letter or spirit of this Terms of Service;
  • harms minors in any way;
  • infringes any patent, trademark, copyright or other proprietary rights or third party’s trade secrets or rights of publicity or privacy or fraudulent or involves the sale of counterfeit or stolen products;
  • violates any law for the time being in force;
  • deceives or misleads the addressee/Users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
  • impersonates another Person;
  • contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
  • threatens the unity, integrity, defence, security or sovereignty of India, India’s friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation;
  • directly or indirectly, offers, attempts to offer, trades or attempts to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force; or
  • creates any liability for the Company or causes the Company to lose (in whole or in part) the services of its Third Party Service Providers (“TSP”) or other suppliers.

6.2. User shall not use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Portal or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Portal or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Portal. The Company reserves its right to bar any such activity.

6.3. User shall not attempt to gain unauthorized access to any portion or feature of the Portal, or any other systems or networks connected to the Portal or to any server, computer, network, or to any of the Services offered on or through the Portal, by hacking, password “mining” or any other illegitimate means.

6.4. User shall not probe, scan or test the vulnerability of the Portal or any network connected to the Portal nor breach the security or authentication measures on the Portal or any network connected to the Portal. User may not reverse look-up, trace or seek to trace any information on any other User of or visitor to the Portal, or any other User, including any account on the Portal not owned by the User, to its source, or exploit the Portal or any service or information made available or offered by or through the Portal, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than User’s own information, as provided for by the Portal.

6.5. User shall not make any negative, denigrating or defamatory statement(s) or comment(s) about the Company, the Portal or the brand name or domain name used by the Company, including the term ‘CG BUGS’ or otherwise engage in any conduct or action that might tarnish the image or reputation, of the Company or CG BUGS or otherwise tarnish or dilute any of the Company’s trade or service marks, trade name and/or goodwill associated with such trade or service marks, trade name as may be owned or used by the Company. User agrees that it will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Portal or the Company’s systems or networks, or any systems or networks connected to the Company.

6.6. User agrees not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Portal or any transaction being conducted on the Portal, or with any other person’s use of the Portal.

6.7. User may not forge headers or otherwise manipulate identifiers in order to disguise the origin or transmittal of any message the User sends to the Company on or through the Portal or any Services offered on or through the Portal. User may not pretend that it is, or that it represents someone else, or impersonate any other individual or entity.

6.8. User may not use the Portal or any Content for any purpose that is unlawful or prohibited by this Terms of Service, or to solicit the performance of any illegal activity or other activity which infringes the rights of the Company and / or others.

6.9. User shall at all times ensure full compliance with all Applicable Laws thereunder as applicable and as amended from time to time and also all applicable domestic laws, rules and regulations (including the provisions of any applicable exchange control laws or other such regulations in force) and international laws, foreign exchange laws, statutes, ordinances and regulations (including, but not limited to sales tax/VAT, income tax, octroi, service tax, central excise, custom duty, local levies) regarding the User’s use of Services, solicitation of offers to avail Services, and avail of Services. The User shall not engage in any transaction in any service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.

6.10. Solely to enable the Company to use the Account Information supplied to it by the User and to ensure that the Company is not in violation of any rights the User may have in the Account Information, the User agrees to grant the Company a right to collect, process and store the Account Information. The Company will only use Account Information in accordance with this Terms of Service and Privacy Policy applicable to use of the Portal.

6.11. User understands that the Company has the right at all times to disclose any information (including the identity of the persons providing information or materials on the Portal, its location etc.) as necessary to satisfy any law, regulation or valid governmental request. This may include, without limitation, disclosure of the information in connection with investigation of alleged illegal activity or solicitation of illegal activity or in response to a lawful court order or summons. In addition, the Company can (and the User hereby expressly authorizes the Company to) disclose any information about the User to law enforcement or other government officials in accordance with Applicable Laws as the Company, in its sole discretion, believes is necessary or appropriate in connection with the investigation and/or resolution of possible crimes, especially those that may involve personal injury.

6.12. User acknowledges that the Company is required to report cyber security incidents related information with appropriate authority, such as their identity, location etc. and relevant data in connection therewith, which report may include data of the Users and their activities on the Portal.

6.13. User is responsible for obtaining the data access necessary to use the Services and also for acquiring and updating compatible hardware or devices necessary to access and use Services and any updates thereto. Services may be subject to malfunctions and delays inherent in the use of the internet and/or any electronic communications.

6.14. User acknowledges and agrees that it shall at all times respect the privacy of other users of the Portal.

6.15. The Company shall have all the right to take necessary action and claim damages that may occur due to User’s involvement/participation in any way on its own or through group/s of people, intentionally or unintentionally in DoS/DDoS (Distributed Denial of Services).

6.16. Any software that is available on the Portal is the property of the Company. Users may not use, download or install any software available on the Portal, unless otherwise expressly permitted by this Terms of Service or by the express written consent of the Company.

6.17. In case a person using the world wide web/internet receives a spam or virus which includes a link to the Portal or to any other site maintained, operated or owned by the Company, it should not be held responsible for the same. The Company assumes no responsibility for such mails.

7. Use of IGL Account

7.1. Solely to enable the Company to use the Account Information supplied to it by the User and to ensure that the Company is not in violation of any rights the User may have in the Account Information, the User agrees to grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, database rights or any other rights the User has in the Account Information, in any media now known or not currently known. The Company will only use Account Information in accordance with this Terms of Service and Privacy Policy applicable to direct the User to their IGL.

7.2. User acknowledges that the Company is required to report cyber security incidents related information with appropriate authority, such as their identity, location, etc. and relevant data in connection therewith, which report may include data of the Users.

7.3. User is responsible for obtaining the data access necessary to use the services of IGL and also for acquiring and updating compatible hardware or devices necessary to access and use services of CG BUGS and any updates thereto. Services may be subject to malfunctions and delays inherent in the use of the internet and/or any electronic communications.

7.4. Any software that is available on IGL is the property of the Company. Users may not use, download or install any software available on CG BUGS, unless otherwise expressly permitted by this Terms of Service or by the express written consent of the Company.

7.5. The Company shall in no manner have any right to view or access the User Content uploaded, saved and shared on CG BUGS by the User. Further, the Company shall not, in any manner, be able to remove or edit any User Content, irrespective of whether the User Content violates, or is alleged to violate, any Applicable Laws or either the spirit or letter of the Third Party Policies. User remains solely responsible for the User Content of the materials it uploads, saves and shares on CG BUGS. Users are advised that such User Content shall not be governed by this Terms of Service. In no event shall the Company assume or have any responsibility or liability for any User Content uploaded, saved or shared on CG BUGS by User, for any claims, damages or losses resulting from use of User Content and/or appearance of User Content on CG BUGS. User hereby represents and warrants that it has all necessary rights in and to all User Content which it uploads, saves and shares on CG BUGS and all information it contains and that such Content shall not infringe any proprietary or other rights of third parties or contain any libellous, tortious, or otherwise unlawful information. User agrees and acknowledges that it shall assume all the risks associated with the User Content, including but not limited to anyone’s reliance on its quality, accuracy, or reliability, or any disclosure by the User of information in User Content that makes it personally identifiable.

8. Collection and Protection of Personal Data on the Portal

8.1. By availing the Services through the Portal, the User authorizes the Company to collect information that can be used to identify or contact a single person, specifically:

– name,

– e-mail address

– name of country of residence,

– telephone number,

– complete physical address, and

– credit card/debit card details,

It is pertinent to mention in this context that certain information may be picked up depending on the location of the App User.

hereinafter collectively referred to as “ Personal Information” and other non-Personal Information about the User and use and/or disclose the same if the Company believes that access, use, preservation or disclosure of such information is reasonably necessary to (a) satisfy any Applicable Law, regulation, legal process or enforceable governmental request including to law enforcement and in response to a court order, (b) detect, prevent, or otherwise address fraud, technical or security issues, (c) enforce applicable terms and conditions, including investigation of potential violations thereof, or (d) protect against harm to the rights or properties of the Company, its users or the public as required or permitted by law, (e) to protect the Company against third-party claims. The Company may also provide and/or disclose such information to any other trusted businesses or persons for the purpose of processing Personal Information on behalf of the Company. The Company shall however, not be liable for any misuse of any Personal or non-Personal Information of the User by any third party.

8.2. By availing the Services, the User agrees that the information provided on the Portal only may be stored, processed and transmitted manually/electronically by the Company. The User also agrees to provide accurate information on the Portal while availing the Services and shall be liable for any damages and disputes arising due to the inaccuracy of the information.

By mere use of the Portal, the User shall be contracting with the Company and these Terms of Service including the aforementioned policies constitute the User’s binding obligations with the Company.

9. CG BUGS Trademark and Copyright

All material of, or contained on the Portal and on CG BUGS, including the Framework on the Portal and CG BUGS, images, illustrations, audio clips, and video clips, are protected by copyrights, trademarks, and other intellectual property rights. User must not copy, reproduce, republish, upload, post, transmit or distribute such material in any way, including by email or other electronic means and whether directly or indirectly and also, the User must not assist any other person to do so.

10. Profanity Policy

10.1. CG BUGS prohibits the use on the Website of language that is racist, hateful, sexual or obscene in nature.

10.2. This profanity policy is extended to text within listings, and on all other areas of the Website that User or any other Person may view. If the profane words are part of a title for the User, CG BUGS allows the User to blur out the bulk of the offending work with asterisks (i.e. s**** or f****).

10.3. Users are requested to report any violations of this policy at support@cgbugsesports.com.

10.4. If a feedback, comment; or any communication made between Users on the Website; or e-mail communication between Users in relation to transactions conducted on the Website contain profanity, Users are advised to review CG BUGS feedback removal policy and submit a request for action/removal.

10.5. Disciplinary action may result in the indefinite suspension of a User’s Account, temporary suspension, limits placed on User’s Account privileges, loss of special status or a formal warning.

10.6. CG BUGS may consider the circumstances of an alleged policy violation and the User’s records before taking action.

11. Disclaimer of Warranties and Liability

11.1. The User acknowledges that the use of the Services is at its sole risk. The Company disclaims all representations and warranties of any kind, whether express or implied as to condition, suitability, quality, merchantability and fitness of the Services offered by it.

11.2. The Company shall not be responsible or liable for any loss or damage, howsoever caused or suffered by the User arising out of the use of the Services or due to the Company’s failure to provide the Services at all, for any reason whatsoever whether or not beyond the control of the Company.

11.3. The Company makes no representation that the Portal will be constantly available or available at all times. The User agrees and acknowledges that the Portal is an online portal and is susceptible to downtimes, crashes or other such technical issues for which the Company shall not be responsible to the User in any manner whatsoever. Nothing contained in this Terms of Service shall be deemed to be a warranty implied or otherwise as to the availability of the Portal at all times.

11.4. User agrees and acknowledges that the Company is not responsible for the continuous availability of any services from third parties and shall not be liable for any loss or damage which may be incurred by the User as a result of such non-availability or as a result of any reliance placed by the User on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such third parties.

11.5. The Company expressly disclaims any liability for any offensive, defamatory, illegal, invasive, unfair, or infringing Third Party Content.

11.6. The Company reserves the right to make changes and corrections to any part of the Content and Framework on the Portal and/or the Framework on IGL at any time without prior notice. Unless stated otherwise, all pictures and information contained on the Portal and/or the information contained in the Framework on CG BUGS are believed to be owned by or licensed to the Company. Any Person may email a takedown request to the email id support@iglnetwork.comif they think that they are the copyright owner of any Content and Framework on the Portal and/or the Framework on CG BUGS and if they think that the use of the aforementioned material violates their copyright in any way. All images that appear on the Portal and/or with regards to the Framework on CG BUGS have been digitalized by the Company and no other party is authorized to reproduce or republish such digital versions in any format whatsoever without the written permission of the Company.

11.7. EXCEPT AS EXPLICITLY STATED IN THIS TERMS OF SERVICE, THE SERVICES AND THE ACCESS TO THE PORTAL ARE PROVIDED “AS IS,” AND USER’S USE OF THE SERVICES AND THE PORTAL IS AT ITS OWN RISK. THE COMPANY (INCLUDING ANY THIRD PARTY ASSISTING THE COMPANY IN PROVISION OF SERVICES) DO NOT MAKE, AND HEREBY DISCLAIM, ANY AND ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, PERFORMANCE, USAGE, OR TRADE PRACTICE. THE COMPANY DOES NOT WARRANT THAT THE SERVICES OR THE PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Remedy

Termination or expiration of this Terms of Service, in part or in whole, shall not limit the Company from pursuing other remedies available to it, nor shall the Company be liable to the User for any damages resulting solely from termination as permitted herein.

13. Indemnity

User shall indemnify and hold harmless the Company, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys’ fees, made by any third party or penalty imposed due to or arising out of the User’s breach of this Terms of Service, Privacy Policy and other policies, or the User’s violation of any law, rules or regulations or the rights (including infringement of intellectual property rights) of a third party.

14. Limitation of Liability

14.1. IN NO EVENT SHALL IGL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THIS TERM OF SERVICE, EVEN IF THE USER HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.

14.2. Subject to the above and notwithstanding anything to the contrary contained in this Terms of Service, the maximum aggregate liability (whether in contract, tort (including negligence) or equity) of the Company vis-à-vis any User, regardless of the form of claim, be INR 100 (Rupees One Hundred only).

The foregoing limitations of liability will apply notwithstanding the failure of essential purpose of any limited remedy herein.

15. Termination and access

TSP’sin their sole discretion, may terminate User’s access to all or any part of IGL at any time, with or without notice, effective immediately, including but not limited to as a result of User’s violation of any of the Third Party Policies or any law, or if User misuses system resources, such as, by employing programs that consume excessive network capacity, CPU cycles, or disk IO. Any such termination may result in the forfeiture and destruction of information associated with User’s IGL. TSP’s may provide prior notice of the intent to terminate the services to the User if such notice will not, in the TSP’s discretion, run counter to the intents and purposes of the Third Party Policies. Except as otherwise set forth hereunder, any and all fees paid are non-refundable and any and all fees owed to the TSP before such termination shall be immediately due and payable, including any liabilities that may have been incurred prior to termination such as the TSP’s costs for collection (including attorneys’ fees) of any such charges or other liabilities. Upon termination, any and all rights granted to the User will immediately be terminated, and User shall promptly discontinue all use of the said services.

16. Governing Law and Jurisdiction

16.1. The Terms of Use shall be governed by and interpreted and construed in accordance with the laws of India. The place of jurisdiction shall be exclusively in Mumbai.

16.2. Any dispute or disagreement arising out of the use of the Website, these Terms of Use, the rights and liabilities of the User and/or CG BUGS, interpretation of these Terms of Use, and all other disputes shall be referred to a sole arbitrator appointed by the Director of IGL.

16.3. The arbitration proceedings will be governed by the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be held in Mumbai, India and conducted in English.

16.4. The Terms of Use will be enforceable, and any arbitration award will be final, and judgment thereon may be entered in any court of competent jurisdiction.

16.5. To the extent permitted under the Arbitration and Conciliation Act, 2017, the User agrees that all claims, differences and disputes arising under or in connection with or in relation to these Terms of Use, or any transaction entered into on or through the Website or the relationship between the User and IGL shall be subject to the exclusive jurisdiction of the courts at Mumbai and the User hereby accedes to and accepts the jurisdiction of such courts.
